Pine Labs shares rise over 2% as 4.3% stake sold in block deal; Mastercard had planned exit

According to fresh market updates, Pine Labs shares advanced more than 2 percent in morning trade on September 22 as 4.97 crore shares, representing around 4.3 percent of the fintech firm's equity, changed hands through the block deal window. The transaction comes after notes that Mastercard Asia/Pacific Pte. Ltd. was looking to exit its entire stake in Pine Labs through a deal worth nearly Rs 900 crore.

Pine Labs stock was trading at Rs 198.66 in morning deals, up 2.56 percent from its previous close of Rs 193.70. The stock had advanced 0.86 percent in the previous session.

The identity of the buyer and seller in Tuesday's transaction was not immediately available. That stated, deal terms noted on Monday revealed that Mastercard Asia/Pacific was offering up to 4.97 crore Pine Labs shares, broadly equivalent to its entire disclosed holding in the firm. As of June 2026, Mastercard held 4.97 crore shares, or a 4.31 percent stake, in Pine Labs.

The floor price for the proposed sale was set at Rs 179.50 per share, a discount of around 7.3 percent to Pine Labs' Monday closing price. At the floor price, the transaction was estimated at around Rs 892 crore. Citigroup Global Markets India was the sole placement agent for the proposed transaction.

The sale, if confirmed as Mastercard's transaction, would mark the payments major's exit from its remaining investment in Pine Labs. Mastercard first invested in the fintech firm in 2020 and subsequently sold part of its holding through Pine Labs' IPO in 2025.

Despite the large transaction and the sizeable discount indicated by the floor price, Pine Labs shares traded elevated on Tuesday morning. At Rs 198.66, the stock was additionally around 11 percent above the block deal floor price.

Pine Labs shares have fallen 18.1 percent so far in 2026, compared with a 10.5 percent slide in the Nifty 50 over the same period. The firm had a market capitalisation of around Rs 22,350 crore based on Monday's close.

On the earnings front, Pine Labs had noted net earnings of Rs 19.6 crore for the April-June quarter, more than four times the Rs 4.8 crore recorded in the year-ago period. Topline from operations increased 19.6 percent, supported by greater adoption of digital payments and payments infrastructure.
